It was incorporated on March 21, 1881, with its main office located in Montreal and an agency in Kingston, Ontario. The original directors included H. Herriman as president, J.G. Ross as vice-president for Quebec, and F.W. Henshaw as secretary-treasurer. At that time, the company's address was 26 Rue de l'Hôpital.

By around 1884, the head office had moved to 69 Rue Saint-Pierre, and the directors at that time were F.R. Batterburg as president, H. Herriman as vice-president and manager, and John W. Cumming as secretary-treasurer. The company ultimately declared bankruptcy in 1891.
